Terms of Service

1. Acceptance of Terms

By accessing or using Duefy ("Service"), operated by Duefy LLC, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Duefy is a software-as-a-service platform that automates invoice payment reminders and tracks invoice status for freelancers and small businesses.

3. Eligibility

You must be at least 18 years old and capable of entering a binding contract to use the Service. By using Duefy, you represent that you meet these requirements.

4. Account Registration

  • You must provide accurate, complete, and current information
  • You are responsible for maintaining the security of your account and password
  • You are responsible for all activity that occurs under your account
  • Notify us immediately at support@duefy.ai of any unauthorized use

5. Subscription and Payment

5.1 Free Trial

No credit card is required to start the trial. New accounts receive a 14-day free trial with full access to the selected plan. Nothing is charged during the trial — you will not be billed at the end of the trial. To keep using Duefy after the trial ends, you choose a plan and enter a payment method at that point.

5.1.1 Clear charge disclosure before payment

Before you submit payment information, the checkout page shows the exact amount that will be charged, the billing frequency (monthly or annual), the renewal date, and the cancellation method. By submitting payment you acknowledge each of these items. We do not enroll you in a paid plan automatically from a free trial without your explicit consent at checkout.

5.1.2 Pre-renewal email reminder

For annual plans, we email you at least 7 days before each automatic renewal so you have time to review or cancel. Monthly plans do not receive a pre-renewal email but can be cancelled at any time from Settings → Billing with the cancellation taking effect at period end.

5.1.3 One-click cancellation

You can cancel your subscription in one click from Settings → Billing → Cancel subscription. The cancellation process is the same number of steps as the signup process and does not require you to call, email, or chat with a representative. Cancelling there is the fastest method; we also accept cancellation by email at billing@duefy.ai.

5.2 Subscription Plans

Duefy offers monthly and annual subscription plans. Prices are as listed on the pricing page at the time of purchase. You become a paying customer only after you actively choose a plan and submit payment information.

5.3 Billing

Subscriptions are billed in advance from the date you submit payment. Monthly plans renew every 30 days; annual plans renew every 365 days. All prices are in USD.

5.4 Cancellation and Refunds

You may cancel your subscription at any time from Settings → Billing (one-click — see 5.1.3), or by emailing billing@duefy.ai. Cancellation takes effect at the end of the current billing period — you keep access until then. Outside the refund window described in 5.4.1, we do not provide refunds for partial periods, except where required by applicable law.

5.4.1 14-day refund window

If you are charged for a paid plan (whether on first signup, monthly, or annual renewal), you may request a full refund within 14 days of that charge by emailing billing@duefy.ai. Refunds are returned to the original payment method within 5–10 business days. This refund right is in addition to any non-waivable rights you have under applicable consumer-protection law.

5.5 Price Changes

We may change prices with 30 days' notice. Continued use after the price change constitutes acceptance.

6. Acceptable Use

You agree not to use the Service to:

  • Send spam, unsolicited commercial email, or harassing communications
  • Violate any applicable law, including the CAN-SPAM Act, GDPR, CASL, or FDCPA
  • Send reminders for fraudulent or non-existent invoices
  • Impersonate another person or entity
  • Attempt to gain unauthorized access to the Service or its related systems
  • Reverse engineer, decompile, or disassemble the Service

7. Fair Debt Collection

Duefy is a software tool, not a debt collection agency. You are solely responsible for ensuring your use of the Service complies with the Fair Debt Collection Practices Act (FDCPA) and all applicable laws. Duefy does not guarantee legal compliance of your collection activities.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Duefy LLC and protected by intellectual property laws. You may not copy, modify, or distribute the Service without our express written permission.

9. Your Data

You retain ownership of all data you submit to the Service. By submitting data, you grant Duefy a limited license to process it for the purpose of providing the Service. See our Privacy Policy for details on how we handle your data.

10. Third-Party Services

The Service integrates with Stripe (payment processing), Resend (email delivery), Google (authentication), and Anthropic/AWS (AI analysis). Your use of these integrations is subject to their respective terms of service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. DUEFY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUEFY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRIOR TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Duefy LLC and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

14. Termination

We may suspend or terminate your account immediately if you violate these Terms or for any other reason with notice. Upon termination, your right to use the Service ceases.

15. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Sheridan County, Wyoming.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use after changes constitutes acceptance.
